The rules of using Scurry.

01Who we are

• Scurry.ai is operated by GoScurry FZCO, a company registered under the International Free Zone Authority (IFZA), Dubai, UAE.
• "Scurry," "we," "us," "our" refers to GoScurry FZCO.
• "You," "your," "user" refers to the person or entity using the Service.

02What you're agreeing to

• By creating an account or using Scurry, you agree to these Terms.
• If you use Scurry on behalf of an organization, you represent you have authority to bind that organization.
• If you don't agree, don't use the Service. Continued use after we update these Terms constitutes acceptance of the updated version.
• We'll notify you of material changes via email or in-product notice at least 14 days before they take effect.

03What Scurry does (and doesn't do)

• Scurry processes meeting transcripts from your connected tools (such as Fireflies, Otter, Gong, and others) and generates AI-powered email follow-up sequences.
• Scurry does NOT record, transcribe, or join your meetings. You use your own meeting recording tools. We start where the transcript ends.
• Scurry does NOT send emails from its own servers. Emails send through YOUR Gmail or Outlook inbox via OAuth. Your name, your domain, your deliverability.
• Scurry reads your transcript, generates draft emails, and queues them for your review. You approve, edit, or cancel every email before it sends.
• AI-generated content is a draft — you are the final sender and are responsible for the content of emails sent from your inbox.

04Your account

• You must provide accurate registration information. One person per account (until multi-seat billing launches).
• You're responsible for all activity under your account, including safeguarding your login credentials.
• You must be at least 18 years old to use Scurry.
• We may suspend or terminate accounts that violate these Terms, at our sole discretion, with or without notice.

05Acorns, plans & billing

• Acorns are prepaid AI credits that fuel sequence generation, edits, and other AI features within Scurry.
• Every plan includes a monthly Acorn allocation. Unused Acorns roll over indefinitely and never expire.
• Acorns are non-refundable, non-transferable, and have no cash value. They cannot be exchanged, sold, or converted to currency.
• Acorn top-up packs are available for purchase at any time and are charged immediately.
• Paddle is our Merchant of Record and handles all billing, payments, taxes, and invoicing on our behalf. When you purchase a plan or top-up, you are transacting with Paddle.
• Subscriptions renew automatically. You may cancel at any time — your plan remains active through the end of the current billing period. No pro-rated refunds for partial periods.
• We reserve the right to change pricing with 30 days' written notice. Existing subscriptions are honored at their current rate until the next renewal after the notice period.
• Free plans (Seedling) may have feature and usage limitations that differ from paid plans. We reserve the right to modify free plan terms at any time.
• If your Acorn balance reaches zero, AI features will not process until you reload or your next monthly allocation arrives.

06Acceptable use

You agree NOT to use Scurry to:

07AI-generated content — disclaimer

• Scurry uses artificial intelligence to generate email drafts based on meeting transcripts. AI output may contain inaccuracies, misinterpretations, or errors.
• You are solely responsible for reviewing, editing, and approving all AI-generated content before it is sent from your inbox.
• Scurry provides no warranty that AI-generated content is accurate, appropriate, legally compliant, or fit for any specific purpose.
• We are not liable for any consequence of emails sent from your inbox, including loss of business, damaged relationships, legal claims, or regulatory penalties — regardless of whether the content was AI-generated.
• You agree to indemnify Scurry against any claims arising from emails sent from your account.

08Third-party integrations

• Scurry connects to third-party services (Fireflies, Pipedrive, Gmail, Outlook, etc.) via OAuth and API. These services have their own Terms and Privacy Policies that you are independently responsible for reviewing and accepting.
• Scurry is not responsible for the availability, accuracy, security, or conduct of any third-party service.
• If a third-party service changes its API, terms, or availability, features within Scurry that rely on it may be impacted. We will make commercially reasonable efforts to adapt but cannot guarantee continued functionality.
• OAuth connections: We access only the scopes described in our Privacy Policy. We never store your third-party passwords. You can revoke OAuth access at any time through the third-party provider.

09Email sending — your responsibility

• Emails are sent from your inbox via OAuth. Scurry acts as an automation tool — you are the sender.
• You are solely responsible for compliance with email laws in your jurisdiction (CAN-SPAM, GDPR, CASL, etc.), including obtaining proper consent from recipients.
• Scurry does not monitor recipient consent status. Ensuring you have the right to email each recipient is your responsibility.
• Scurry is not liable for deliverability issues, spam classification, domain reputation, or any consequence of emails sent from your account.

10Intellectual property

• You may not copy, reproduce, distribute, reverse-engineer, or create derivative works from any part of the Scurry platform.

11Service availability

• We work hard to keep Scurry running smoothly. We maintain redundant infrastructure, monitor performance around the clock, and push updates with care.
• That said, like any cloud service, scheduled maintenance and occasional unplanned interruptions may occur. We'll communicate planned downtime in advance where possible.
• Enterprise SLA terms are available on Ancient Forest plans upon request.
• The Service is provided on an "as-is" and "as-available" basis — we do not guarantee uninterrupted or error-free operation, and no SLA applies unless separately agreed in writing.

12Limitation of liability

• Scurry's total liability for any claim arising from or related to the Service is limited to the amount you paid to Scurry in the 12 months preceding the claim, or $100 USD, whichever is greater.
• Scurry is NOT liable for any indirect, incidental, consequential, special, or punitive damages — including but not limited to lost profits, lost revenue, lost data, lost business opportunities, reputational damage, or cost of replacement services — regardless of whether we were advised of the possibility of such damages.
• This applies to all causes of action, whether in contract, tort, strict liability, or otherwise.
• Some jurisdictions do not allow exclusion of certain warranties or limitation of liability. In those jurisdictions, our liability is limited to the minimum extent permitted by law.

13Indemnification

• You agree to indemnify, defend, and hold harmless GoScurry FZCO, its officers, employees, contractors, and affiliates from any claim, loss, liability, damage, or expense (including reasonable legal fees) arising from: (a) your use of the Service; (b) content generated or sent from your account; (c) your violation of these Terms; (d) your violation of any applicable law or third-party rights.

14Termination

• You can cancel your account at any time through the Service or by emailing hello@goscurry.ai.
• Upon cancellation: your plan remains active through the end of the current billing period. After that, your account reverts to free-tier access (if available) or is deactivated.
• We may terminate or suspend your account immediately and without notice for violation of these Terms, abuse, fraud, or if required by law.
• Upon termination: your right to use the Service ends. Acorn balances are forfeited. We may delete your data after a reasonable retention period (see Privacy Policy).
• Sections on Intellectual Property, Limitation of Liability, Indemnification, Governing Law, and Confidentiality survive termination.

15Governing law & dispute resolution

• These Terms are governed by the laws of the International Free Zone Authority (IFZA) and, where applicable, the federal laws of the United Arab Emirates.
• Any dispute shall be resolved through binding arbitration administered under IFZA rules. The seat of arbitration is Dubai, UAE. The language of arbitration is English. The arbitration panel shall consist of a single arbitrator whose decision is final and binding.
• You agree to attempt good-faith resolution through direct communication (email to hello@goscurry.ai) before initiating arbitration.
• Class action waiver: You agree to resolve disputes individually. You waive any right to participate in class actions, class arbitrations, or representative proceedings.

16General

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Scurry regarding the Service.
• Severability: If any provision is found invalid, the remaining provisions remain in full force.
• No Waiver: Failure to enforce any provision doesn't waive our right to enforce it later.
• Assignment: You may not assign or transfer your account or these Terms. Scurry may assign these Terms in connection with a merger, acquisition, or sale of assets.
• Notices: We'll send legal notices via email to the address on your account. You agree email notice is sufficient.
• Force Majeure: Scurry is not liable for failure to perform due to events beyond our reasonable control (natural disasters, wars, pandemics, infrastructure outages, third-party service failures, government actions).
